Terms of Service

1. The service

AxdIt is a cloud-based asset auditing platform operated by Softify ("we", "us", "our"). The service allows facilities and estates teams to conduct, manage, and report on building asset audits.

By creating an account and using AxdIt, you agree to these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.

2. Acceptable use

You may use AxdIt only for lawful purposes. You must not:

• Upload, transmit, or store any unlawful, harmful, or fraudulent content.
• Attempt to reverse-engineer, decompile, or extract source code from the service.
• Use automated means (scrapers, bots, or scripts) to access the service beyond normal use.
• Share your login credentials or allow unauthorised parties to access your account.
• Use the service to infringe the intellectual property rights of any third party.
• Attempt to probe, scan, or test the vulnerability of AxdIt systems.

We reserve the right to suspend or terminate accounts that breach these terms without notice.

3. Your data

You retain full ownership of all asset data, reports, photos, and other content you upload to AxdIt. We do not claim any intellectual property rights over your data.

You grant us a limited licence to store, process, and display your data solely for the purpose of providing the service to you. We will not share, sell, or use your data for any other purpose.

You are responsible for ensuring that any data you upload complies with applicable laws and that you have the necessary rights to upload it.

4. Subscription, payment, and cancellation

AxdIt is offered on a subscription basis. By subscribing, you authorise us to charge the applicable fees to your chosen payment method on a recurring basis.

• Billing — subscriptions are billed monthly or annually in advance, depending on your chosen plan.
• Cancellation — you may cancel at any time from your account settings. Cancellation takes effect at the end of your current billing period. We do not offer partial refunds for unused time.
• Data after cancellation — your data is retained for 30 days following cancellation, during which you can export it. After 30 days it is permanently deleted.
• Price changes — we will give you at least 30 days notice of any pricing changes before they take effect on your subscription.

5. Availability and service changes

We aim to keep AxdIt available at all times but do not guarantee uninterrupted access. We may perform scheduled maintenance and will endeavour to notify you in advance for significant downtime.

We reserve the right to modify or discontinue any part of the service with reasonable notice. If we discontinue the service entirely, we will give you at least 90 days notice and the opportunity to export your data.

6. Limitation of liability

To the maximum extent permitted by law, Softify shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of AxdIt.

Our total aggregate liability to you in respect of any claim arising under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Intellectual property

The AxdIt name, logo, product design, and all software underlying the service are the intellectual property of Softify. Nothing in these Terms grants you any rights to our intellectual property other than the limited licence to use the service as described herein.

8. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to these Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. Your continued use of AxdIt after that date constitutes acceptance of the updated Terms.
